AGREEMENT TO TERMS
These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and BEYOND JULIUS, a company registered under the laws of the Republic of Ghana ("Company," "we," "us," or "our"), concerning your access to and use of the beyondjulius.com website and any related applications, media channels, or services (collectively, the “Site”).
You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.
Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason.

6. CONTRIBUTION LICENSE
By posting your Contributions to any part of the Site, you automatically grant, and you represent and warrant that you have the right to grant, to us an irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice) for the purposes of operating, promoting, and improving the Site and our services, and to develop new ones. This license includes the right for us to make your Contributions available to other users of the Site, with whom you may choose to share it.
You grant us the right to use your name, username, and/or likeness in connection with your Contributions. You waive, to the fullest extent permitted by applicable local law, all moral rights in your Contributions, and you warrant that moral rights have not otherwise been asserted in your Contributions.
We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with them. However, you acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site ("Submissions") provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

12. GOVERNING LAW AND JURISDICTION
These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law principles.
Jurisdiction for Non-Consumer Users
For any user who is not a "consumer" as defined under the laws of their jurisdiction, you agree to submit to the exclusive jurisdiction of the courts located in Accra, Ghana for the resolution of any dispute arising out of or relating to these Terms.
Mandatory Consumer Law and Jurisdiction Exception
Notwithstanding the foregoing, if you are a consumer residing in a jurisdiction with mandatory consumer protection laws (such as the European Union, the United Kingdom, or Canada), you will benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law. Furthermore, for such consumers, any disputes shall be subject to the non-exclusive jurisdiction of the courts of your country of residence, and you may bring proceedings in your local courts.

13. DISPUTE RESOLUTION
Binding Arbitration for Non-Consumer Users
If you are not a consumer, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by final and binding arbitration in Accra, Ghana, under the Alternative Dispute Resolution Act, 2010 (Act 798) of the Republic of Ghana, and you hereby expressly waive your right to a court trial or jury trial.
Informal Resolution and Litigation for Consumers
If you are a consumer, you agree to first attempt to resolve any Dispute informally by contacting us at legal.office@beyondjulius.com. If we cannot resolve the Dispute within sixty (60) days, you may then pursue your claims in your local courts in accordance with your mandatory local consumer law, as set forth in Section 12.
NO CLASS ACTIONS
You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed.

16. LIMITATIONS OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING OR (B) ONE HUNDRED U.S. DOLLARS ($100.00 USD). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT.
STATUTORY MANDATORY EXCEPTIONS: CERTAIN JURISDICTIONS, INCLUDING THOSE WITH MANDATORY CONSUMER PROTECTION LAWS, DO NOT ALLOW THE LIMITATION OF LIABILITY. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS. NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE OUR LIABILITY FOR (I) DEATH OR PERSONAL INJURY CAUSED BY OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; (II) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (III) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
